ARTICLE 1 — Scope of Application
These General Terms and Conditions of Sale ("GTCS") apply to all services offered by The Alkia Agency L.L.C-FZ under the brand The Cigar Lounge Code / Le Code du Fumoir, including but not limited to:
Individual private mentoring sessions and consultations
Online or in-person mentoring and accompaniment
Strategic listening for entrepreneurs, leaders and founders
Personal development support
Any service delivered by Géraud Delléa or his authorized representatives under The Cigar Lounge Code / Le Code du Fumoir brand
By purchasing any service, the client confirms that they have read, understood, and accepted these GTCS in full.

ARTICLE 3 — Nature of Services
Services may be provided:
Individually or in group settings
Online or in-person
Live (via Zoom, phone, WhatsApp, or in-person) or pre-recorded (replays, e-learning content)
Themes addressed include personal development, sovereignty, self-relation, couple and relationships, parenting and transmission, emotional regulation and the transformation of anger into constructive power, and integral masculinity.
The services delivered are of a mentoring, accompaniment, and personal development nature. They do not constitute medical, psychological, psychiatric, or therapeutic services of any kind.
ARTICLE 4 — Subscription and Payment Process
Purchases are made through:
Dedicated sales pages
Secure payment processors (Stripe and any other authorized provider)
Bank transfer (upon written request and approval)
Access to the purchased service is granted after full payment confirmation. All prices are displayed in the currency indicated on the sales page and may be subject to applicable VAT (5% in the UAE where applicable).
Any completed purchase constitutes a binding commitment between the client and The Alkia Agency L.L.C-FZ.
ARTICLE 5 — Scheduling of Sessions
Private appointments are scheduled by mutual agreement, subject to the availability of time slots offered.
Sessions take place via Zoom, phone, WhatsApp, or in-person depending on the offer purchased.
Clients are required to attend their scheduled sessions punctually. Rescheduling requests must be made at least 48 hours before the scheduled session. No-shows or cancellations made less than 48 hours before the session will not be rescheduled or refunded.
ARTICLE 6 — Commitments and Responsibilities
The Alkia Agency L.L.C-FZ commits to providing an ethical, confidential, and professional framework for all services delivered.
This is an obligation of means, not an obligation of results. No specific outcome can be guaranteed.
The client remains fully responsible for their participation, choices, decisions, and personal investment in the process. The client acknowledges that any transformation requires their active engagement.
ARTICLE 7 — Important Recommendations
The services offered do not replace medical, psychological, psychiatric, or therapeutic care of any kind. No medical diagnosis, prescription, or treatment will be provided.
Because this work may touch on intense emotional material, clients with diagnosed medical or psychological conditions are strongly advised to consult appropriate licensed healthcare professionals. All materials, content, exchanges, and communications provided are strictly confidential.
Any unauthorized reproduction, recording, distribution, or sharing of any content, session recording, or material is strictly prohibited.
Any behavior, comment, or public statement that harms the reputation, image, or integrity of The Alkia Agency L.L.C-FZ, its representatives, or its members may result in immediate exclusion from any ongoing service without refund and may lead to legal action.
ARTICLE 9 — Withdrawal Policy
In accordance with international e-commerce practices, a withdrawal period of seven (7) days applies from the date of purchase.
This right of withdrawal is automatically void in the following cases:
When immediate access to digital content is provided (e-learning, replays, private group access, downloadable materials)
When a private session has begun or a private access link has been delivered
When the service has been partially or fully delivered
After this seven-day period, or if the service has begun, no refund will be issued under any circumstances.

ARTICLE 10 — Governing Law and Jurisdiction
These GTCS are governed by the laws of the United Arab Emirates, with specific reference to the laws applicable in the Emirate of Dubai.
In case of any dispute, the parties agree to seek an amicable resolution as a priority. If no amicable resolution is reached within thirty (30) days of written notification, the competent jurisdiction shall be the Courts of Dubai, United Arab Emirates.
ARTICLE 11 — Personal Data and Privacy
Personal data collected during the purchase or delivery of services is used exclusively for the purposes of:
Delivering the purchased services
Communicating with the client regarding their service
Processing payments
Complying with legal obligations
The Alkia Agency L.L.C-FZ is committed to protecting client data in accordance with applicable UAE data protection regulations, including Federal Decree-Law No. 45 of 2021 on Personal Data Protection.

ARTICLE 12 — Intellectual Property
All content, including but not limited to texts, replays, recordings, documents, audio materials, video materials, methodologies, frameworks, and concepts created and delivered, are the exclusive intellectual property of The Alkia Agency L.L.C-FZ.
Any reproduction, distribution, public sharing, commercial use, or derivative work created from such content is strictly prohibited without prior written authorization.
Any violation of these intellectual property rights may result in legal proceedings and claims for damages.
ARTICLE 13 — Relational Integrity and Ethics
Enrollment in any service implies the client's commitment to:
Maintain strict confidentiality of all exchanges
Refrain from any form of disparagement of The Alkia Agency L.L.C-FZ, its representatives, or other clients
Behave respectfully and in alignment with the ethical principles communicated
Any breach of these principles may result in immediate exclusion from the service without refund and may give rise to legal action.
ARTICLE 14 — Image Rights
Unless explicitly stated otherwise in writing by the client, the client authorizes The Alkia Agency L.L.C-FZ to make non-commercial use of their image for communication purposes related to the services delivered (ambiance photographs, group session screenshots, testimonials with prior consent, etc.).
The client may withdraw this authorization at any time by written request to [email protected], with the understanding that already-published materials may take a reasonable time to be removed.
ARTICLE 15 — Events, Retreats and Group Programs > Géraud Dellea: All registrations for events, retreats, immersions, masterclasses, or group programs are final and non-refundable.
A reschedule, transfer to another participant, or credit toward a future event may be offered at the sole discretion of The Alkia Agency L.L.C-FZ, depending on the circumstances. This is a courtesy and not a contractual obligation.
In case of cancellation of an event by The Alkia Agency L.L.C-FZ due to force majeure or unforeseen circumstances, registered participants will be offered a transfer to a future event of equivalent value or a credit, but no monetary refund.
ARTICLE 16 — Multi-Month Mentoring and Installment Commitments
For services structured over several months (for example, the three-month, six-month, or annual mentoring programs):
Where payment is made in installments, the installment plan is a firm commitment to the full amount of the service
The duration of the minimum commitment, if any, is specified at the time of registration
No refund is granted for any started period
Cancellation terms and procedures are specified at registration
The client remains responsible for managing their payments and for respecting the timelines provided.
ARTICLE 17 — Selective Access Programs
Some programs, including bespoke and annual accompaniment, are accessible only after a selection process.
The Alkia Agency L.L.C-FZ reserves the absolute right to accept or refuse access to any selective program without providing justification. This selection process is part of maintaining the quality and the alignment and fit of the program.
No refund will be issued for application fees, if any, in case of non-selection.
ARTICLE 18 — Collective Spaces
In all collective spaces (Zoom group sessions, private messaging groups, immersions, retreats), confidentiality and respectful behavior are mandatory.
Any disrespectful behavior, harassment, breach of confidentiality, or conduct deemed inappropriate results in immediate exclusion without refund.
The decisions of The Alkia Agency L.L.C-FZ regarding the management of collective spaces are final and not subject to appeal.
ARTICLE 19 — Financial Terms and Late Payments
Any unpaid installment will result in the following actions:
Immediate suspension of access to the service
Written reminders sent via email
Possible debt collection procedures with additional fees and legal costs charged to the client
The client commits to providing valid payment information and to notifying The Alkia Agency L.L.C-FZ immediately in case of any change to their banking details.
ARTICLE 20 — Full Acceptance of Terms
Any validated order, whether through online payment, electronic signature, or click-acceptance, constitutes the client's full and unconditional acceptance of these GTCS in their entirety.
The client acknowledges having had the opportunity to read these GTCS in full prior to purchase and confirms understanding of all clauses.
ARTICLE 21 — Subscriptions and Installment Payments
21.1 — Subscriptions
Subscriptions, where offered, renew automatically at the end of each billing period
Subscriptions are distinct from installment payment plans
No refund is granted for a started billing period
Cancellation takes effect at the end of the current billing period
21.2 — Installment Payments
Installment payment plans are an irrevocable financial commitment to pay the full amount of the service
Even in case of early termination, absence, or non-use, the full amount remains due
Failure to honor installment payments results in immediate suspension of access and possible debt recovery procedures
21.3 — Non-Use of Services
Failure by the client to use, attend, or engage with the purchased content does not entitle the client to cancellation, refund, or compensation of any kind.
21.4 — Payment Default
In case of payment default, access to the service is immediately suspended, debt collection procedures may be initiated, and additional collection fees and legal costs may be charged to the client. > Géraud Dellea: ARTICLE 22 — Applicable Law in the UAE
These GTCS are governed by the laws of the United Arab Emirates and the regulations applicable in the Emirate of Dubai.
UAE Federal Law No. 15 of 2020 on Consumer Protection and its implementing regulations apply where relevant. However, the specific nature of personalized mentoring and personal development services may exclude certain provisions related to standard consumer goods.
The withdrawal and refund policies described in Article 9 represent the voluntary commitment of The Alkia Agency L.L.C-FZ and may exceed what is strictly required under UAE law for digital and personal services.
ARTICLE 23 — Image Protection and Registered Names
Géraud Delléa is a published author and a public figure recognized in his field of activity.
Any unauthorized use of his name, image, voice, content, or recordings may result in civil or criminal action for image rights violation, defamation, or unauthorized commercial exploitation.
The following names and marks are reserved for the exclusive use of Géraud Delléa and The Alkia Agency L.L.C-FZ:
The Cigar Lounge Code
Le Code du Fumoir
Strategic Listener (as used to designate Géraud Delléa's practice)
Any use, imitation, reproduction, or distribution of these names without prior formal authorization constitutes a serious violation of intellectual property rights and may lead to legal proceedings under applicable UAE law and international treaties.
ARTICLE 24 — Updates to the GTCS
These GTCS may be updated at any time. The version applicable to any purchase is the version in force at the time of that specific purchase.
Clients are encouraged to consult the current version before any new purchase. Continued use of services after an update constitutes acceptance of the updated terms.
ARTICLE 25 — Early Termination
Either party may terminate the support relationship early by providing written notification to the other party.
In all cases of early termination:
No refund will be issued for services already delivered or in progress
All amounts due, including remaining installment payments, remain payable in full
Access to materials and groups will be revoked at the date of termination
Only exceptional circumstances, validated in writing by The Alkia Agency L.L.C-FZ, may justify a specific arrangement. Such arrangements are at the sole discretion of The Alkia Agency L.L.C-FZ and do not constitute a precedent.
ARTICLE 26 — Disputes and Jurisdiction
In case of any dispute, both parties agree to seek an amicable resolution as their first priority.
If no amicable agreement is reached within thirty (30) days from the date of written notification of the dispute, the competent jurisdiction is assigned exclusively to the Courts of Dubai, United Arab Emirates. The parties expressly waive any right to bring action before any other jurisdiction.
ARTICLE 27 — Force Majeure
The Alkia Agency L.L.C-FZ cannot be held responsible for any delay or failure in the performance of its services due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, government actions, internet outages, technical failures of third-party platforms (Zoom, Stripe, etc.), pandemics, or any other event qualifying as force majeure under UAE law.
In such circumstances, The Alkia Agency L.L.C-FZ commits to making reasonable efforts to reschedule or adapt the services as soon as possible.
ARTICLE 28 — Severability
If any provision of these GTCS is held to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.
The invalid provision shall, where possible, be replaced by a valid provision reflecting as closely as possible the original intent of the parties.
ARTICLE 29 — Entire Agreement
These GTCS, together with any specific terms communicated at the time of purchase of a particular service, constitute the entire agreement between the client and The Alkia Agency L.L.C-FZ..
